Airpoints Dollars and/or Status Points earned through air travel may only be earned by the person named on the Ticket. Airpoints Dollars and/or Status Points are not transferable except in accordance with clause 11.45.1 and clause 13.6.

4.3.4 An Elite Partner Card will be valid until the date 12 months after the Elite Status became effective. During this period only one Elite Partner can be nominated.

4.3.5 If we discover any fraudulent activities in relation to Elite Partner membership, clause 14 will apply.

4.4 Elite Gift

4.4.1 Elite members will qualify for an Elite gift when they earn 3000 and 5000 Status Points from their last Elite requalification date (of which 810 Status Points must have been earned on Air New Zealand Operated Flights and Air New Zealand Alliance Flights). If you qualify for an Elite gift, we will contact you by using your contact details recorded in your Airpoints Account. If after making reasonable attempts, we are unable to make contact with you, then your Elite Gift will be deemed to be forfeited. The qualifying Elite Member may select their gift from a range of Elite gifts, as notified by us from time to time. Availability of a particular Elite gift is not guaranteed until we have confirmed your selection.

5 Maintaining Tier Status

5.1 Status Points (as described in the published Status Points schedules) count towards calculating Tier Status. Tier Status is calculated independently from the Airpoints Dollars in your Account.
5.1.1 You need a minimum number of Status Points earned solely on Air New Zealand Operated Flights and/or Air New Zealand Alliance Flights to achieve and maintain Elite Tier Status. Please see clause 5.2.4 for the qualifying criteria.
5.1.2 You need a minimum number of Status Points earned on Air New Zealand Operated Flights, Air New Zealand Alliance Flights, and/or Star Alliance Qualifying Flights to achieve and maintain Silver and Gold Tier Status. Please see clause 5.2.4 for the qualifying criteria.

5.2.1 Grabaseat Fares, including Grabaseat Green Light fares, Tasman and/or Pacific Island fares in F booking class, Domestic Grabaseat Fares, Smart Saver Fares and domestic fares in F booking class, do not earn Airpoints Dollars, but do earn Status Points.
5.2.2 Travel booked in booking classes N, X, I and R on all Air New Zealand Operated Flights and Infant fares do not earn Airpoints Dollars or Status Points.
5.2.3 The purchase of goods or services from non-airline Partners do not count towards Tier Status.
5.2.4 Qualifying criteria for Tier Status for Members (including Australian Members):

Tier Amount of Qualifying Status Points* Required to Upgrade Amount of Qualifying Status Points* Required to Retain Tier Status
Silver 450 405 (at least half on Air New Zealand Operated Flights, Air New Zealand Alliance Flights, or Star Alliance Qualifying Flights)
Gold 900 810 (at least half on Air New Zealand Operated Flights, Air New Zealand Alliance Flights, or Star Alliance Qualifying Flights)
Elite 1,500 (at least 900 on Air New Zealand Operated Flights or Air New Zealand Alliance Flights) 1,350 (at least 810 on Air New Zealand Operated Flights or Air New Zealand Alliance Flights)

* The qualifying Status Points must be earned in a 12 month period to achieve Tier Status.

5.2.5 The qualifying criteria for Tier Status can be changed at any time without notice. Please visit airnewzealand.com/airpoints for the current qualifying criteria.

5.3 We'll review Members' Tier Status every day and we'll notify Members when they attain a Tier Status promptly.
5.3.1 While we aim to make your new Tier Status effective as soon as possible after the date on which you attain it, it will take approximately 7 days before your new Tier Status becomes effective.
5.3.2 Elite, Gold and Silver Tier Status and applicable benefits are valid for 12 months after the applicable Tier Status becomes effective (as notified by us).
5.3.3 If, during that 12 month period, a Member achieves a higher Tier Status, all benefits of the current Tier Status will expire and the benefits of the new Tier Status will automatically apply.
5.3.4 Twelve months after the date on which a Member achieves a particular Tier Status, that Member's Tier Status will be reviewed; the Member must have earned the required Tier Status points over the previous 12 months in order to keep that Tier Status. The Member will be downgraded to the applicable lower Tier Status if they have not earned the required Status Points. If your Tier Status is downgraded, your current Tier Status will continue until the expiry date shown on your Airpoints Membership card.

5.4 If you are a Member who has a current Elite Tier Status held for more than 12 months, any Status Points earned in the immediately preceding Requalification Period that are in excess of 1350 Status Points but are less than or equal to 2400 Status Points, can be counted towards re-qualification for Elite Tier Status for the current Requalification Period. The maximum number of Status Points that can be carried forward from a immediately preceding Requalification Period is 1050 Status Points. Only Status Points earned in the immediately preceding Requalification Period can count towards Elite Tier Status re-qualification.
For example,
Requalification Period 1: Elite Member earns 1600 Status Points in this Requalification Period. 250 Status Points may be carried forward for the following Requalification Period.
Requalification Period 2: Elite Member earns 1200 Status Points in this Requalification Period. To re-qualify for Elite Tier Status, 150 Status Points of the previous Requalification Period are applied.
Requalification Period 3: Elite Member earns 1300 Status Points in this Requalification Period. No Status Points from the immediately preceding Requalification Period can be carried forward for this Requalification Period.
5.4.1 Airpoints members who have held Elite Tier Status for more than twelve-months and have earned over 2400 Status Points (including at least 1400 earned on Air New Zealand Operated Flights and/or Air New Zealand Alliance Flights) during their current requalification period will be entitled to one complimentary banked year at Elite Tier Status. This complimentary year of Elite Tier Status is not transferable and is not redeemable for cash. The complimentary banked year at Elite Tier Status will automatically commence on any Elite re-qualification date when you do not have sufficient Status Points to re-qualify for Elite Tier Status. There is no limit on the number of complimentary banked years of Elite Tier Status for which you can qualify, but only one complimentary banked year can be earned during an Elite re-qualification period. For example, if you earn 4500 Status Points in an Elite re-qualification period, you will only qualify for one complimentary banked year at Elite Tier Status. The remaining balance of 2100 Status Points will be automatically removed and will not be rolled over into the following Elite re-qualification period.
5.4.1.2 Should Status Points earned from a preceding year be used to re-qualify for Elite Tier Status, any Status Points in excess of the number of Status Points required to re-qualify will be automatically removed from your Account and are not valid towards the following year's Tier Status qualifications. For example, if you have rolled over 600 Status Points from the preceding Elite re-qualification period and you earn 1200 Status Points in the current Elite re-qualification period, you will re-qualify for Elite Tier Status, but you may not roll over the excess of 450 Status Points towards re-qualification in the following  Elite re-qualification period.
5.4.2 Status Points that are rolled over from the preceding membership year cannot be used for the purpose of qualifying for a complimentary year at Elite. For example, if you are an Elite member and you have rolled over 500 Status Points from your preceding membership year, these 500 Status Points will not be included when we review your eligibility for a complimentary Elite year.

6 Fees

6.1 In addition to any taxes, duties, levies, fees and charges referred to in clause 15.2, you are required to pay in Cash (unless we specify otherwise) all taxes, fees, levies and surcharges imposed or collected by Air New Zealand and/or Partner Airlines for a Ticket for Reward Travel and/or the Journey for which such a Ticket is issued. These may include but are not limited to insurance surcharges, civil aviation authority charges, airport charges and levies as well as some country departure taxes.

6.2 You can pay all applicable Service Fees (see clause 6.4) using Airpoints Dollars or Cash, unless we specify otherwise. Service Fees can only be gifted when the Reward itself is gifted. If you're paying a Service Fee at the same time as making a Reward booking, and you're paying the fee using Airpoints Dollars, we'll deduct the Airpoints Dollars for the Reward from your Account before the Service Fee is paid. If there are enough Airpoints Dollars to pay for the Reward but not enough to pay for both the Reward and the Service Fee, you'll have to pay the Service Fee in Cash.
6.2.1 If you live in New Zealand or in any country other than Australia or Norfolk Island, any Service Fees that are to be paid using Airpoints Dollars and that are quoted in a currency other than New Zealand Dollars will be converted by us at our discretion into New Zealand Dollars or into the Airpoints Dollars equivalent for deduction from your Account. For Australian Members, any Service Fees to be paid using Australian Airpoints Dollars that are quoted in a currency other than Australian Dollars will be converted by us at our discretion into Australian Dollars or the Australian Airpoints Dollars equivalent for deduction from your Account. If you change your country of residence to or from Australia more than twice in a 12 month period you will incur a service fee of $25 or 25 Airpoints Dollars.
6.2.2 Unless you have an Airpoints Advance facility pursuant to clause 11.2.1, Service Fees can only be paid with Airpoints Dollars if you have enough Airpoints Dollars to pay them without leaving your Account with a negative balance.

6.3 All Service Fees refunded will be refunded in the same currency in which they were paid.

6.4 Service Fees

6.4.1 Schedule of Service Fees:

6.4.2 Elite Members, Gold Members and Silver Members are exempt from the replacement card fee.
6.4.3 If you wish to re-register a Giftee after they have been removed from your Members Gifting Register, the "Addition of Giftee" fee in clause 4.1.2 will apply.
6.4.4 If you pay for an upgrade that is then not made available to you, we'll refund your upgrade fees and Service Fees in the same currency in which they were paid.

6.5 Annual Account Fees

6.5.1 In accordance with clause 7.2, you must view your Activity Details Online.
6.5.1.1 You'll be charged the annual Account fee at the rate of NZ$20.00, or 20 Airpoints Dollars (AU$20.00 or 20 Australian Airpoints Dollars for Australian Members).
6.5.2 The annual Account fee will be waived if you have flown on an Air New Zealand Operated Flight or on an Air New Zealand Alliance Flight (in each case excluding travel on Non-Qualifying Flight) in your preceding Anniversary Year. To qualify, you must enter your Membership number when booking. You will only be eligible for the annual Account fee exemption once the Air New Zealand Operated Flights and/or the Air New Zealand Alliance Flight have appeared in your Airpoints Account.
6.5.3 If you have transferred reward points from an Airpoints Australian Card Partner and earned at least 50 Australian Airpoints Dollars in a single transaction, you will be exempt from paying the annual account fee.
6.5.4 The annual Account fee referred to in this clause 6.5 applies to all Members unless waived in these Terms and Conditions or by Air New Zealand.
6.5.5 We'll write to you within the 30 day period before your annual Account fee is due, to let you know the due date for payment.
6.5.5.1 If you don't pay your annual Account fee by the due date, you authorise us to automatically deduct the applicable fee in Airpoints Dollars from your Account. If there are not enough Airpoints Dollars in your Account when the fee is due, the fee will still be deducted and your Account will be deemed Dormant. If it is Dormant for 12 months or more, your Account will be closed on your next Anniversary Date, again without notice.
6.5.6 If our communication about the annual account fee being due is returned to us as undeliverable, your account will be deemed Temporarily Closed and clause 7.4 will apply. If your Account is deemed Temporarily Closed, we will not send an annual Account fee notification to you prior to this fee being automatically deducted from your Account.
6.5.7 You can pay your annual Account fee using Airpoints Dollars or Cash, unless we specify otherwise. If you live in or in any country other than Australia or Norfolk Islands and your annual Account fee is quoted in a currency other than New Zealand Dollars, the fee will be converted into the New Zealand Dollar equivalent or into the Airpoints Dollars equivalent, at a rate we determine at our discretion. For Australian Members, if your annual Account fee is quoted in a currency other than Australian Dollars, the fee will be converted into the Australian Dollar equivalent or into the Australian Airpoints Dollar equivalent, at a rate we determine at our discretion.

Following the date that we become aware of such death, the deceased Member’s Airpoints account, Shairpoints account, Status Points, and all other Airpoints benefits will be cancelled and become invalid. If we receive a written request by the executor of the Member’s estate to transfer the deceased Member’s current Airpoints Dollars balance to the Airpoints accounts of the beneficiaries of the Member’s estate, we will do so if we are satisfied that the request is valid and lawful and if the request is made within 2 years of the death of the Airpoints Member.
8.8.3 If anyone claims accruals or credits from a deceased Member's Account, they may be subject to appropriate administrative and/or legal action by us including, but not limited to, Membership cancellation (if applicable) and the loss of all accumulated Airpoints Dollars and unused Rewards. We may also take action to recover the monetary value of the Airpoints Dollars and benefits concerned.

9 The Airpoints Programme

9.1 These Terms and Conditions may be changed at any time. We'll be deemed to have given notice of any change to our Members by posting the revised Terms and Conditions and/or schedule of fees for the Air New Zealand Airpoints Programme on airnewzealand.co.nz/airpoints. (Our website airnewzealand.com/airpoints has all the current Terms and Conditions and schedule of fees for the Air New Zealand Airpoints Programme.)

9.2 If anything happens that is beyond our control and affects our ability to provide Rewards (including, but not limited to, strikes, acts of God, civil disturbance, government orders, weather conditions, unavailability of aircraft, terrorist activities or war), we can suspend or terminate the provision of such Rewards at our discretion. We'll have no liability to any Member for such suspension or termination.

9.3 Partners can discontinue their participation in the Programme and their provision of Rewards at any time without notice.

9.4 We give no warranty for the continuing availability of the Programme and we reserve the right to terminate it by giving at least six months' notice to Members, or at any time without notice if we cease to operate as an airline. We won't provide any consideration for Airpoints Dollars and/or Status Points you've earned but not redeemed at the time of termination.

9.5 These Terms and Conditions are not interchangeable with those of Air New Zealand Koru or any other club or loyalty programme operated by us or any of our Partners. Your Membership does not give you access to the benefits of any other Air New Zealand club, facility or loyalty programme unless it is stated in their membership conditions.

9.6 We accept no liability to any Member if any Partner or third party Rewards supplier refuses to accept or honour your Card, or for any loss, injury or damage that arises from any provision or non-provision of any Rewards by a Partner or third party supplier, unless it was caused by a negligent act or omission on our part. You agree to resolve any complaints relating to such Rewards directly with the Partner or third party supplier concerned. In advertising the availability of any Rewards provided by a Partner or third party supplier, we act solely as its publicist. The provision and sale of such Rewards are subject to the applicable Partner's or supplier's terms and conditions.

9.7 Notwithstanding any other provision in these Terms and Conditions or the terms and conditions of any other loyalty programme offered by a Partner and/or authorised by us, you can't redeem for Cash or sell your Airpoints Dollars and/or Rewards and/or Status Points and/or Koru Passes, or assign or transfer them for Cash or any other consideration.

10 Australian Members

10.1 Australian Members shall earn and redeem Australian Airpoints Dollars and Status Points in accordance with the Australian accrual and reward charts.

10.2 Any Airpoints Dollars that Australian Members earn will be converted to Australian Airpoints Dollars by us at a conversion rate we determine at our discretion.

10.3 If an Australian Member earns Airpoints Dollars through a Partner's credit card loyalty programme, we will automatically convert such Airpoints Dollars into Australian Airpoints Dollars at a rate of conversion determined by us at our discretion.

10.4 For the purpose of redeeming Rewards and paying Service Fees in accordance with the Programme, one Australian Airpoints Dollar will be deemed equivalent to one Australian Dollar.
For Australian Members, any reference to "Member" or "Airpoints Dollars" in these Terms and Conditions will be deemed a reference to "Australian Member" and "Australian Airpoints Dollars" respectively, except in clauses where "Australian Member" and "Australian Airpoints Dollars" are specifically referred to and except where the context requires otherwise.

10.5 Australian Members who cease being residents in Australia or Norfolk Island must immediately notify us of their change of residence.

10.6 An Australian Member who ceases being a resident in Australia or Norfolk Island will stop earning or redeeming Australian Airpoints Dollars and will instead earn or redeem Airpoints Dollars. Such Member's Account (with an Australian Airpoints Dollars balance) will be converted into Airpoints Dollars, at a rate determined by us at our discretion.

10.7 A Member who becomes a resident in Australia or Norfolk Island will stop earning or redeeming Airpoints Dollars and will instead earn or redeem Australian Airpoints Dollars.
Such Member's Account (with an Airpoints Dollars balance) will be converted into Australian Airpoints Dollars, at a rate determined by us at our discretion.

11 Direct Earn Credit Cards

11.1 The terms and conditions of your Direct Earn Credit Card shall apply to the use of your card. The Airpoints Programme benefits that are available to you are set out here. Please contact your Direct Earn Credit Card issuer for full details including details on Direct Earn Credit Card eligibility, benefits and fees. Except in respect of any Airpoints Programme benefits provided by Air New Zealand, to the extent that there is any inconsistency between these Terms and Conditions and the terms applicable to your use of your Direct Earn Credit Card, the terms applicable to your Direct Earn Credit Card shall prevail.

11.2 Where a Direct Earn Credit Card holder:
holds more than one Direct Earn Credit Card that entitles them to benefits similar to or the same as the benefits under another Direct Earn Credit Card; and/or is a Silver, Gold or Elite Airpoints Member and the Member's Tier Status entitles that Member to benefits similar to or the same as the benefits under a Direct Earn Credit Card, such benefits are not cumulative (except Lounge Passes) and that cardholder will only be entitled to the highest level of entitlement for that benefit.

11.2.1 Notwithstanding clause 3.1.3 but subject to the following terms, certain Direct Earn Credit Card Members may over draw their Airpoints Account up to the amounts as shown here ("Airpoints Advance") to pay for Rewards.

11.2.2 For GlobalPlus Direct Earn Credit Card holders, Airpoints Advance is available to those GlobalPlus Members and Platinum GlobalPlus Members (excluding GlobalPlus Business Card holders) who:
(a) for all GlobalPlus credit card accounts opened before 30 March 2008 was the Nominated Earner as at 30 March 2008; or
(b) for all GlobalPlus credit card accounts opened after 30 March 2008, was the original Nominated Earner when the GlobalPlus credit card account was first opened, and in each case, is the Nominated Earner at the time of requesting the benefit.

11.2.3 Where a Direct Earn Credit Card Member holds more than one Direct Earn Credit Card which entitles them to obtain an Airpoints Advance on more than one of those credit cards, the Direct Earn Credit Card Member will only be entitled to an Airpoints Advance for the card which has the highest Airpoints Advance limit, and the Direct Earn Credit Card Member will not be entitled to a Airpoints Advance entitlement for any of their other Direct Earn Credit Cards.

11.2.4 When a Direct Earn Credit Card Member ceases to have more than one Direct Earn Credit Card account or otherwise ceases to be the Nominated Earner of those additional accounts, the available Airpoints Dollars will automatically reduce to the next highest Airpoints Advance limit available to that Direct Earn Credit Card Member and clause 11.2.6 will apply.

11.2.5 We reserve the right to amend or withdraw the Airpoints Advance offer at any stage for one or more Direct Earn Credit Cards. If we withdraw the Airpoints Advance pursuant to this clause, then clause 11.2.6 will apply to the applicable Direct Earn Credit Card Member.

11.2.6 The Member has 12 months from the date they cease to have a Direct Earn Credit Card account, or the date on which they ceased to be the Nominated Earner, or the date on which the Airpoints Advance is withdrawn (as applicable), to earn sufficient Airpoints Dollars to repay any outstanding Airpoints Advance. If the Direct Earn Credit Card Member does not hold another Direct Earn Credit Card that entitles that Member to an Airpoints Advance then the Member must repay the outstanding Airpoints Advance in its entirety. If the Member is entitled to Airpoints Advance under another Direct Earn Credit Card, the Member is only required to repay the difference between the amount withdrawn against that higher Airpoints Advance and the new Airpoints Advance limit ("Airpoints Deficit"). Any Airpoints Deficit to be repaid pursuant to this clause must be repaid in accordance with clause 11.2.7. If the Member does not repay the Airpoints Deficit within 12 months, we will close that Member's Account and we may also take legal action to recover the monetary value of any Airpoints Deficit upon closing your Account.

11.2.7 Members shall repay any Airpoints Dollars withdrawn using their Airpoints Advance by earning or purchasing Airpoints Dollars in accordance with these Terms and Conditions.

11.2.8 Members will be liable for all legal and/or debt recovery costs incurred pursuant to clauses 8.8.3, 11.2.5, 11.2.6 and 13.2 of these Terms and Conditions in relation to recovering from that Member the monetary value of any Airpoints Dollars or credits. For the purposes of recovering the monetary value of any Airpoints Dollars, one Airpoints Dollar shall be deemed to have a monetary value equal to one New Zealand dollar for all Airpoints Members other than Australian Airpoints Members. For Australian Airpoints Members, one Airpoints Dollar shall be deemed to have a monetary value equal to one Australian dollar. Subject to our prior written agreement and at our sole discretion, Members may repay any Airpoints Dollars withdrawn using their Airpoints Advance by using Cash.

11.3 Gifting for Direct Earn Credit Card holders

11.3.1 Notwithstanding clause 4.1, if your Direct Earn Credit Card permits (as shown here), you may nominate up to two people as 'Gift Recipients' for 12 month periods commencing on the date the applicable credit card account is opened, and each anniversary of that date.

11.3.2 Subject to clause 4.2.4, if your Direct Earn Credit Card permits (as shown here), you may gift Rewards (excluding Companion Tickets) to Gift Recipients subject to the following conditions:
11.3.2.1Gift Recipients don't need to live in the same Household as the Direct Earn Credit Card holder.

11.3.2.3 The nomination of a Gift Recipient will be valid until the date 12 months after the date on which the Member's qualifying Direct Earn Credit Card account was opened, or the last anniversary of that date (as applicable). The nomination will automatically expire after that period, and the Member will need to re-nominate the Gift Recipient or nominate new Gift Recipients in accordance with this clause.
11.3.2.4 This Gifting facility may have tax implications for holders of the qualifying Direct Earn Credit Card. See clause 15.

11.4 Non Expiry of Airpoints Dollars for Nominated Earners of Direct Earn Credit Cards

11.4.1 Notwithstanding clause 2, Airpoints Dollars earned by certain Direct Earn Credit Cards holders will not expire for so long as the credit card holders are the Nominated Earner for the applicable account. Airpoints Dollars earned before the Member was the Nominated Earner, and Airpoints Dollars earned outside of earning them on credit card spend including Flight and non Flight accruals, will also not expire on the same basis.

11.4.2 As soon as the Member is no longer the Nominated Earner for a qualifying Direct Earn Credit Card account, and the Member does not otherwise qualify for non-expiry of Airpoints Dollars, all of their unused Airpoints Dollars that would have expired under clause 2.2 at their last Anniversary Date (or would have expired under clause 2.2 at any other previous Anniversary Date) but for clause 11.4.1 will immediately expire and be removed from their Account.

11.4.3 Airpoints Dollars of Members with a qualifying Direct Earn Credit Card account that is a joint account or has an additional cardholder attached to that account and who are not the Nominated Earner for the account, and who do not otherwise qualify for non-expiry of Airpoints Dollars, will expire in accordance with clause 2.2 of these Terms and Conditions.

11.5.1 Airpoints Dollars Transfers
11.5.1.1 Members who have a joint Direct Earn Credit Card or, joint GlobalPlus Home Loan account may transfer the Airpoints Dollars they accumulate using these accounts to the other person named in the joint account in the situations specified in clauses 11.5.1.2 and 11.5.1.3. Members who have a joint BNZ Platinum credit card or a joint BNZ Gold credit card, (together the "BNZ Credit Cards"), may transfer the Airpoints Dollars they have converted from reward points using these credit card accounts to the other person named in the joint account in the situations specified in clauses 11.5.1.2 and 11.5.1.3. Under no circumstances may Airpoints Dollars earned by Members through a single credit card account (with or without additional cardholders) or through a single home loan account, be transferred. Under no circumstances may Airpoints Dollars earned through Qualifying Flights or through the purchase of qualifying goods or services from a Partner, be transferred.
11.5.1.2 If the Nominated Earner of a joint Direct Earn Credit Card or, a joint GlobalPlus Home Loan account or a joint BNZ Credit Card dies, 100% of the Airpoints Dollars accrued from that person's joint account, and that have not yet been redeemed, may be transferred from the Nominated Earner's Airpoints Account to the other joint account holder's Airpoints Account, once:

12 Shairpoints

12.1 Shairpoints Account set up

12.1.1 Members of a Shairpoints Account can combine their Airpoints Dollars through setting up a Shairpoints Account.

12.1.2 To set up a Shairpoints Account, an Airpoints Member must log into your registered online Air New Zealand account and create a Shairpoints Account. The member who creates the Shairpoints Account is referred to as the Enabler. To add members to the Shairpoints Account, the Enabler may invite up to four members to join the Enabler's Shairpoints Account and up to two of whom may live at an address that is different to the Enabler. Only the Enabler can invite others to join the Shairpoints Account. On receipt of an invitation to join a Shairpoints Account the invitee may accept or decline the invitation. If the person invited to join the Shairpoints Account is not already an Airpoints Member they will be signed up as an Airpoints member through the invitation process and we'll waive the Airpoints joining fee for the invitee.

12.1.3 Subject to clause 12.1.4 and 12.1.5, an Enabler for a Shairpoints Account may invite new members to join that Enabler's Shairpoints Account.

12.1.4 The maximum number of members in a Shairpoints Account at any time is five (including the Enabler). During an Enabler's Anniversary Year, no more than up to four new members may join that Enabler's Shairpoints Account.

12.1.5 Each member of a Shairpoints Account:
(a) must be a New Zealand resident; and
(b) may only belong to one Shairpoints Account at a time.

12.2 Shairpoints Spending

12.2.1 If an invitee accepts an invitation to join a Shairpoints Account:
(a) all of that Member's Airpoints Dollars accrued to that Member's Account prior to the date of joining the Shairpoints Account;
(b) all Airpoints Dollars earned by that Member while that Member is part of the Shairpoints Account; and
(c) any Airpoints Advance available to that Member while that Member is part of the Shairpoints Account, will be combined with the Airpoints Dollars of all other members of that Shairpoints Account (including the Enabler) to equal the Shairpoints Account Balance.

12.2.2 All combined Airpoints Dollars in a Shairpoints Account Balance may be redeemed at anytime at the absolute discretion of the Enabler and/or at the absolute discretion of a Spender(s). The new member will not be able to redeem any Airpoints Dollars that are added to the Shairpoints Account Balance by other Shairpoints Account members, unless that member is nominated by the Enabler to be a Spender.

12.2.3 If a member of a Shairpoints Account is a Non Spender, that member may continue to redeem their own Airpoints Dollars credited to their Account, provided that at the time of redemption those Airpoints Dollars have not been spent by the Enabler or by a Spender.

12.2.4 If an Enabler or a Spender redeems any Airpoints Dollars, the Airpoints Dollars in the Shairpoints Account Balance that are the oldest will be redeemed first, irrespective of whether any of the Shairpoints Account members are eligible for non-expiry of Airpoints Dollars. If one or more Shairpoints Account members have Airpoints Dollars in their Accounts with the same age and some of those Airpoints Dollars are being redeemed, Airpoints Dollars will be deducted evenly from the applicable Shairpoints Account members' Accounts.

12.2.5 If a Shairpoints Account member has access to an Airpoints Advance, from the date of joining the Shairpoints Account until the date that the Shairpoints Account member is removed or leaves the Shairpoints Account, that member's Airpoints Advance will also be available for redemption by the Enabler and/or by a Spender(s).

12.2.6 Any Airpoints Dollars available through an Airpoints Advance will be used only after all other Airpoints Dollars have been redeemed. If there is more than one Airpoints Advance available for drawdown by the Enabler and/or by a Spender(s), the Airpoints Dollars will be withdrawn evenly from the applicable Shairpoints Account members' Airpoints Advance balances. Each Airpoints Member remains liable to repay any Airpoints Dollars withdrawn from that Member's Airpoints Advance even if such Airpoints Advance was used by an Enabler and/or by a Spender(s).

12.2.7 If you are entitled to a refund on a Reward that is not utilised, then subject to any applicable cancelation fees, we'll refund the net amount due to you in the same currency in which it was paid and such amounts will be repaid to the Accounts from which the original amount was deducted on a pro rated basis.

12.3 Leaving a Shairpoints Account

12.3.1 A Shairpoints Account member can elect at anytime to leave a Shairpoints Account online via your Shairpoints Account page.

12.3.2 The Enabler may at anytime remove a Shairpoints Account Member from the Shairpoints Account online via their Shairpoints Account page on their signed in Air New Zealand account.

12.3.3 When a member leaves or is removed from a Shairpoints Account:
(a) all Airpoints Dollars in that Airpoints Member's Account as at the date of exiting will be deducted from the Shairpoints Account Balance and will cease to be available for use by the Enabler and/or by a Spender(s);
(b) from the date of exiting the Shairpoints Account, that member may continue to redeem their own Airpoints Dollars; and
(c) the Airpoints Member remains liable to repay any Airpoints Dollars withdrawn from that Member's Airpoints Advance even if such Airpoints Advance was withdrawn by other Shairpoints Account members prior to that member exiting the Shairpoints Account.

12.4 Shairpoints General

12.4.1 If an Enabler dies, that Enabler's Shairpoints Account will be deemed to be automatically closed. If a member of a Shairpoints Account (other than the Enabler) dies, that member is deemed to have left the Shairpoints Account and clause 8.8 will apply.

12.4.2 The Enabler may at anytime change a Shairpoints Account Member's Status from a Spender to a Non Spender or from a Non Spender to a Spender, in each case online via their Shairpoints Account page on their signed in Air New Zealand account.

12.4.3 The Enabler may at anytime close their Shairpoints Account without notice to any other Shairpoints Account member.

12.4.4 When a Shairpoints Account is closed:
(a) all Airpoints Dollars in each Shairpoints Account Member's Accounts as at the date of closing will cease to be available for use by the Enabler and/or by a Spender(s);
(b) from the date of closing the Shairpoints Account, each member may continue to redeem their own Airpoints Dollars that are credited to their Account; and
(c) each Airpoints Member remains liable to repay any Airpoints Dollars withdrawn from that Member's Airpoints Advance even if such Airpoints Advance was withdrawn prior to closure of the Shairpoints Account.

12.4.5 When you join or create a Shairpoints Account, you acknowledge that all of your available Airpoints Dollars can be redeemed by the Enabler and/or by the Spender(s) in your Shairpoints Account.

12.4.6 When you join a Shairpoints Account, your Status Points may not be used by any other Shairpoints Account member.

12.4.7 You authorise us to send email communications to you in relation to Shairpoints invitations to join and all subsequent updates in relation to your Shairpoints Account. Air New Zealand has no obligation to make any enquiries about activities in your Account if the activities are conducted by someone in your Shairpoints Account.

12.4.9 Air New Zealand may suspend a Shairpoints Account if it determines at its sole discretion that there has been a breach of the Airpoints Terms and Conditions or if there is fraudulent activity at anytime.

12.4.10 If a member of a Shairpoints Account wishes to see another Shairpoints Account member's activity records ("disclosing member"), the member requesting access must provide to us the disclosing member's written consent authorising such disclosure.
